State Defence Corporation

State Defence Corporation, LLC (SDC) (SIA “Valsts aizsardzības korporācija”) is a limited liability company whose aim is to support long-term development of national military industry in Latvia.

The overall strategic objective of SDC is to manage investments in the national defence industry and to coordinate processes related to the development of military production, ensuring the establishment of production facilities and production process, and contributing to the development of the national defence industry and the continuity of its supply chains.

SDC is structured as a holding company responsible to:

• provide integrated management of state defence industry investments and coordination of military production policies;

• implement and support implementation of European Union’s financial instruments through national and cross-border level cooperation, including equity investments into existing local military manufacturers that need capital injection to boost their production capacity;

• acquire interest in other commercial entities to ensure stockpiling of critical assets required to create, maintain and replenish the necessary reserves defined by the Ministry of Defence;

• provide indirect support to manufacturers/developers who create and integrate critical defence products, their parts and technologies.

Cabinet of Ministers approved the establishment of State Defence Corporation, LLC (SIA “Valsts aizsardzības korporācija”) on 21 November 2023. Company was registered on 29 November 2023. Its registered capital is EUR 500,000.

Notice of a meeting of the members of State Defence Corporation, LLC

State Defence Corporation, LLC informs that on October 9, 2024 at 14.00 at the Ministry of Defence of the Republic of Latvia (Kr. Valdemāra street 10/12, Riga) a meeting of the members of State Defence Corporation, LLC will be convened to consider the following questions:

1. Approval of the Internal Control and Risk Management System of State Defence Corporation, LLC;
2. Approval of the auditor of State Defence Corporation, LLC.

The Ministry of Defence (MoD) announces a call for applications for the position of Member of the Management Board of State Defence Corporation, LLC (hereinafter - the Company).

In order to ensure the selection process of candidates for the position of a Member of the Board, a Nomination Committee (hereinafter - "Committee") consisting of five persons has been established by the Order No. 65-R of the MoD, the shareholder of the Company, on 11 June 2024.

The Nomination Committee shall be chaired by Rolands Heniņš, Deputy State Secretary - Policy Director, Ministry of Defence.

Members of the Nomination Committee:

• Kristīne Priede, Consultant, Capital Companies Management Division, Department for Cross-Sectoral Coordination;
• Ilvija Boreiko, Member of the Board of Latvenergo AS;
• Andris Grafs, Vice President of the Baltic Institute of Corporate Governance (as an independent voting member);
• Daiga Ozola, Head of the Industry and Research Support Division, Department of Defence Industry and Innovation Policy, Ministry of Defence.

The observer with advisor rights is Raivis Bremšmits, Director of the Investment and Development Agency of Latvia.

The task of the Commission is to assess the candidates in accordance with the Cabinet of Ministers Regulation No 20 of 7 January 2020 "Procedure for Nomination of Members of the Management Board and Supervisory Board in Capital Companies in which the state or a derivative public entity holds shares" and to prepare a proposal to the Company's shareholder on the most suitable candidates for nomination to the position of a member of the Company's Management Board.
